1. Inlaze. GENERAL DATA AND OWNERSHIP OF THE PLATFORM

• The Inlaze platform is owned by SPORT ENLACE S.A.S., a commercial company incorporated in Colombia, identified with the NIT 9014295059, telephone: +57 3217530554, and email: [email protected]. Hereinafter any reference to 'Inlaze' is understood as everything alluding to the services provided by the web portal www.Inlaze.com and any of the links linked to this page.

• The above contact information is available to any person who has a legitimate interest in commercial, tax, civil or judicial matters; without prejudice that additional information may be requested and clarifying that the platform may have the relevant information when required and is not responsible for missing information that has not been requested to Inlaze.

• For other issues related to the operation of the platform, FAQ, incidents, resolution of doubts, payments and billing, regulatory compliance, terms and conditions, data protection, etc., will be reported in each specific section, if applicable, the contact route for the resolution of incidents or doubts that arise to users, without the attention implies commitment to solve problems outside the operation of Inlaze or access immediately to the requirement of the affiliate. The components, graphics, texts, elements, codes and other characteristics found on the Inlaze website belong to Inlaze and may not be used, except with the express authorization of Inlaze, demonstrable through the means described in the first paragraph of this section.

2. SUMMARY OF THE PLATFORM'S ACTIVITIES

• Inlaze is an online platform dedicated to the activity of affiliate marketing, activity that we perform through Inlaze.com, which consists of a network of partners or affiliates through which, through a business partnership contract, the parties will collaborate to promote the campaigns of our customers in their online channels such as websites, blogs or social networks.

• Inlaze focuses primarily on the online gambling markets, sports betting in general, without this being an obstacle to promote other types of digital services. Therefore, when we talk about products and services, we refer to those that focus on these specific activities, therefore, our clients are basically online gambling operators or online casinos.

• The modalities or levels of collaboration determined in the Inlaze.com portal are called PRIME USER and BASIC USER, which operate under the same conditions provided herein, except for the issues that are expressly indicated in these & as differential according to the modality.

3. PARTS

• 1 Inlaze:

  Owner of the platform in accordance with the first paragraph of these terms.

• 2 AFFILIATES OR COLLABORATORS:

  Natural or legal person that presents collaboration for the promotion of our clients' campaigns in their online channels such as websites, blogs or social networks. The affiliate status is acquired with the registration on the Inlaze platform, once the link has been approved and has all the documentation up to date, being the affiliate fully responsible in case of fraud, forgery, impersonation or any modality by which presents an identity that does not correspond to the real one. Similarly, Inlaze reserves the right to deny or cancel the registration of the affiliate or user due to their legal background or reasonable risk in accordance with our policies of Fraud Prevention and Prevention of Money Laundering and Terrorist Financing.

4. GLOSSARY

• 4.1. Affiliation Marketing:

  Affiliate marketing is a type of online marketing with which companies seek to get their products and services to a greater number of customers through the Internet. Affiliate marketing, according to the present & is defined as a collaborative activity in which users of the platform can promote on their own websites, blogs or social networks, the products and services of our clients, in order to attract users.

• 4.2. Customers:

  Corresponds to companies or persons, duly authorized, engaged in sports betting (bookmakers), online gambling (gambling operators or casinos) and in general constitutes any natural or legal person that requires the affiliate marketing service.

• 4.3. Prime Affiliate level:

  Affiliated and/or registered natural or legal persons who, through the due and truthful registration on the platform, acquire the quality of collaborators, with which they may access the campaigns of the clients and, subsequently, promote them through their online channels such as web pages, blogs or social networks; accessing payments provided they comply with the respective conditions and their behavior over time demonstrates the repeated fulfillment of conditions to be considered this type of affiliate.

• 4.4. Basic Affiliate level:

  Natural or legal persons affiliated and/or registered that, through the due and truthful registration in the platform, acquire the quality of collaborators, with which they will be able to access the campaigns of the clients and, subsequently, promote them with the means at their disposal; accessing the payments as long as they comply with the respective conditions required by the client.

• 4.5. Affiliates:

  These are people who, through tracking, links, banners or any other means available to the client to be placed on the affiliates' web pages, blogs or social networks, access the promoted campaigns and contract the products or services of our clients, in a repetitive and constant manner over time, complying with the terms of each advertisement available to the client.

• 4.6. Product and/or service:

  These are the products or services promoted through the Inlaze.com platform, which is mainly focused on two markets: *Sports betting: promotion of welcome bonuses, offers, superquotes or other types of promotions. Online gambling: welcome bonuses, free spins and similar. The products and/or services will be considered as such as long as their promotion and acquisition are legal in the country where each affiliate is registered, whose legality will be the sole responsibility of the affiliate and the affiliate, without prejudice to the control that Inlaze may make of the same, with the consequent cancellation of affiliations and suspension or denial of payments.

• 4.7. CPA:

  This is the Cost Per Acquisition (also called Cost Per Action), which corresponds to the payment that is generated and released upon completion of a specific action required by the customer, in accordance with the general or specific conditions per campaign determined by the customer.

• 4.8. Fraudulent traffic:

  In general, it is considered as such when the traffic has carried out the operations necessary to generate the payment of the CPA and immediately after, has withdrawn the funds and has not operated again or has operated minimally, pursuing only the objective of obtaining the payment of the CPA. It is also considered fraudulent traffic when the affiliate himself registers as a user or, he himself registers with other accounts, with the purpose of obtaining the CPA commissions. In short, fraudulent traffic is all that which, from the movements made, it is clear that its only purpose was to obtain the CPA commission, without showing a real and genuine interest in the product or service offered by the client.

• 4.9. Incentive traffic:

  Incentivized traffic is considered to be all traffic that carries out the registration and the minimum operations to obtain the CPA, guided by an incentive promised or proposed by the affiliate.

5. REGISTRY

• By registering with Inlaze, the holder becomes an affiliate in any of its modalities, so that he/she will have access to the exclusive part of the platform (according to the registered or assigned modality), access to the campaigns of our clients and to all the tools of the portal. The affiliate who registers accepts the current version of these terms and conditions, the privacy policy, cookies policy and other policies and agreements required for the execution of this collaboration contract. For the registration, you will be asked for the data necessary for the registration, which is understood as authorization for the processing of your data, which will be used exclusively for the development of the activity of Inlaze.

• Inlaze's PRIME mode is aimed at all those people (individuals, companies or agencies) who have a website or a social media channel with followers/traffic, while the BASIC mode is focused on the general public.

• To register as an affiliate with Inlaze, it is a prerequisite to be 18 years of age or older, notwithstanding that access may be denied to persons who do not reach the age of majority in their country of origin. Each user is responsible for the content of their own website or channel on the corresponding social network, being absolutely forbidden to make misleading, encouraging or negative advertising of the customer or Inlaze, thus constituting grounds for termination of this partnership agreement, in addition to the legal proceedings that Inlaze or the customer may decide to initiate.

• Inlaze may at any time monitor the activities of affiliates and affiliates, which may include reviewing wagering conditions, referred traffic, traffic quality, traffic behavior, and the like. Inlaze also reserves the right to reject affiliates or affiliates or close their accounts, if necessary, to comply with contractual or legal requirements that may arise with the customer or pursuant to the partnership hereunder.

6. GENERAL CONDITIONS OF COLLABORATION

• Inlaze.com is an online platform dedicated to affiliate marketing activity through the Inlaze.com website; which seeks to establish collaborative relationships with affiliates, through which they can access the campaigns of our clients and promote them in turn in their online channels such as websites, blogs or social networks. These collaborative relationships are based on trust and are intended to be maintained over time, thus generating income for both parties and collaborating with the market growth of our clients.

• Inlaze focuses primarily on the markets of online gambling, sports betting in general, therefore, our products are focused on these specific activities. However, Inlaze reserves the right to serve customers from other sectors and promote its products, without affecting the agreements made in advance, except for the reasons indicated in these T&Cs.

• UOnce an effective promotion of each campaign has been given by the affiliate, with the link or banner referred by Inlaze, and once the customer's requirements have been met, an income will be generated, previously determined by the customer, assigned by the collaboration provided between Inlaze and the affiliate. This income will be distributed between Inlaze and the affiliate once the conditions for such distribution are configured, under the terms of the present & and in the proportions that are informed by Inlaze, which will be considered accepted once the affiliate performs actions to promote the links or campaigns.

• The campaigns promoted through Inlaze are the exclusive property of our clients. Thus, the conditions for payment for the recruitment of affiliates are imposed directly by our customers or advertisers, in their capacity as owners of the campaign, product or service promoted. Similarly, it will be the client who pays the affiliates, once they meet the conditions of the specific bets before them, understanding that the collaboration between Inlaze and the affiliate has a purpose of promotion and dissemination of products, thus exempting the parties to this contract of liabilities arising from payments or non-payment of bets.

• In this way, Inlaze and the affiliate come together on the affiliate platform to promote the client's products or services, providing the knowledge and contact with the client of their promotions and products, and transferring the link and its characteristics to the affiliate, so that the latter can promote them among potential affiliates, through the communication channels available to them.

• Through the relationship described above, customers pay Inlaze the agreed upon amount for the consumption made by the affiliates (access to our customers' campaigns and products) referred through the partnership between Inlaze and the Affiliate, once the customer's payment conditions are met.

• This is quantified through tracking links or banners, through which customers know the activity of the affiliates that enter through the collaboration carried out between Inlaze and the affiliate, and thus make the payment agreed with the affiliate for each specific campaign.

7. DISCLAIMER

• In attention to the fact that the general procedure by which the collaboration object of the present terms is provided is the one referred to in the previous numeral, where the client issues campaigns, bonuses, promotions or any mechanism to attract affiliates, under its conditions; authorizing and linking Inlaze for promotional purposes only, which is done in conjunction with the affiliate, it is understood that such campaigns are the exclusive property of customers, without Inlaze having any right over them, beyond the simple publication or promotion, which brings including information to affiliates on the validity, expiration and essential conditions of such campaigns.

• As a general rule, the conditions under which the client makes the acknowledgement of payment to Inlaze (which ends up being distributed with the affiliate in accordance with the terms herein) are the following, without prejudice to what the client may indicate for each campaign:

• Under these conditions the client reserves the right to withhold specific sums of money or deny any payment in favor of the collaboration, which is directly decided at the discretion of the client, without Inlaze having to commit to recognize any amount. Similarly, it may proceed to suspend payments or make withholdings when it becomes evident that the client's requirements are not being met, for which it will attend the considerations that the affiliate indicates to support its management in accordance with this contract and may serve as a liaison to transmit the affiliate's concerns regarding the determinations made by the client.

• Compliance with current regulations regarding responsible gaming, betting, taxes derived from gambling and other legal responsibilities arising from the bets themselves is the sole responsibility of the customers, since Inlaze functions solely as a marketing or promotional mechanism for its activities, products or services; and this is how the activity should be understood, therefore it is the affiliate's duty to inform the scope of its activity and refrain from linking Inlaze in any promotion or activity that is outside the scope of the collaboration relationship that is the object of the present. The access by affiliates to all those tools that Inlaze makes available to them to carry out the promotions of the campaigns, such as banners, tracking links, graphic design tools, etc. will be unrestricted, except in cases where the client indicates particular conditions for each promotion or campaign, which will be reported to the affiliate, without prejudice to its commitment to the review on its own account of the conditions indicated by each client.

• Inlaze.com is not responsible for fraud committed by third parties against affiliates, as well as abusive access to computer systems and any computer crime of which they are victims during the collaboration, dissemination of campaigns or any collaborative activity that they execute. Likewise, Inlaze.com is not liable for embargoes, civil actions, tax collections, executive collections or any legal action taken against the affiliate in the framework of this collaboration.

• Inlaze also reserves the right to monitor the results of the collaboration and to suspend links or payments if there are indications of unauthorized conduct by customers.

• Similarly, when the customer detects unauthorized conduct by customers and suspends outstanding payments, Inlaze is authorized to deduct this money from outstanding balances or, failing that, to make executive collection or promote legal proceedings as indicated in the present, international treaties between Colombia and the country of origin of the affiliate, compromissory clauses or any mechanism to be decided between the parties. Notwithstanding the foregoing, Inlaze will refrain from taking actions that are not in accordance with the conditions of the customer or that are not in line with its payment policies and the like.

• It is also indicated that the advertising material, banners, labels, content or images provided by customers, are the exclusive property of the same, so the right of use that have the affiliate of such materials is limited in nature; dedicated exclusively to the purposes of this collaboration, where the affiliate will indemnify Inlaze for any litigation or dispute arising from the misuse of these materials, unauthorized use of advertising or brand, improper use of customer brand regulations and any violation of the property rights of which the customer is the owner. In the event that Inlaze detects violations of the above, it will notify the client and may remove the affiliate from the campaign.

• The affiliate recruitment efforts cannot be directed to any person who is in any jurisdiction (country or part of it) or has any condition that generates a restriction for the consumption of gambling or sports betting. In this sense it is the responsibility of the affiliate to identify locations and conditions in which he/she shares the links and campaigns provided by Inlaze.com; likewise, he/she will hold Inlaze harmless from any legal process originated by violating this provision.

8. PAYMENT POLICIES AND INFORMATION

• The denomination of CPA responds to the payment that is generated and released upon completion of a specific action required by the operator (client). The CPA is given as consideration for meeting the requirements established by the client for an acquisition or a specific action; in the absence of which the conditions for payment are not configured. In the event that the client establishes another special mechanism for payment of CPA or any exception thereto, it shall prevail over the provisions of this agreement.

• The CPA payment is released or approved upon completion of the initial minimum deposit (amount of money set by the client), without prejudice to accessory conditions indicated by the client. The conditions to release the CPA are established solely and exclusively by the clients, therefore, in no case will claims be accepted for amounts or conditions that are not in accordance with what is determined by the client.

• As a requirement for CPA payment, it is required that the client does not qualify the referred traffic as fraudulent, incentivized or in breach of its conditions for payment. In the event that the customer rejects the CPA payment due to non-compliance with its requirements, no amount of money will be generated for distribution under the terms of these T&Cs. Inlaze will inform in case of being notified of any modification in the conditions of the campaigns or promotions of the clients. The Inlaze.com platform contains a private part assigned to each affiliate, in which he/she has access to his/her account of results, as a consequence of the promotion of the campaigns. In this results account, the affiliate will be able to see the total clicks and unique clicks generated in the campaigns he/she has promoted. Also, he/she will have access to the earnings account distributed by the traffic referred to the campaigns. The accumulated earnings will be expressed in U.S. dollars in the amount equivalent to the exchange rate of the currency in which the affiliate charges Inlaze.com for the collaboration; therefore, Inlaze is not responsible for losses or reductions in income that occur due to variations in the value of one currency versus another.

• As for the clicks and effective profit, the update is made within twenty-four (24 hours after each registration, as for the profits generated by the referred traffic, they will be updated on a daily basis; taking this into account, it is understood that these records are informative and may be modified according to the movement and other policies indicated in these &. Under this understanding, an image or a specific amount at a specific time shall not be understood as a definitive value with the character of an enforceable title.

• The distributed earnings that are reflected in the affiliate's account are provisional as long as the client has not confirmed and paid them. This is because customers, before proceeding to pay them, can investigate and validate the traffic referred by the affiliate and declare it as fraudulent, incentivized or simply does not meet the minimum conditions for payment, in which case you can delete that traffic and not pay it. As for updating the statistics on the income distributed by the traffic referred in the partnership, it may take the customer between 1 and 5 days to do so.

• Thus, once payment is requested by the affiliate, Inlaze undertakes to make the payment as soon as possible, within 15 working days of the following month, notwithstanding the fact that this payment may be suspended due to the client's determination or non-compliance with the conditions for claiming the CPAs.

• The CPAs generated in a user's income statement will be accumulated and added one after the other. In this way, the affiliate can request payment or accumulate them for a higher payment at a later date. However, when it is verified that a collaboration payment to be delivered has been confirmed in the income statement for one calendar year and has not been collected, Inlaze will consider it as abandoned and will remove it from the affiliate's income statement, without the affiliate being able to claim it, since it is understood that the affiliate tacitly waives its right.

• To receive the CPA payment, the affiliate will only have to select any of the available payment methods on the platform. It is important for the affiliate to know that only the referred traffic that has been confirmed by the client will be paid. In other words, if the referred traffic is considered fraudulent or incentivized by the client, or simply does not meet the client's conditions for payment, the commissions will not be paid and the traffic will be eliminated.

• For the collaboration modalities, specific conditions, CPA or Revenue Share amounts will be established according to the conditions of each campaign; however, the values of each campaign will be indicated in the private part of the platform. In the case of basic level affiliates, the number of campaigns to which they have access will be limited (limit that may be eliminated when the amount determined for CPA payment is met, however, the value of payments in their favor will be 20% of the value assigned per campaign to the prime level affiliate. In any case, Inlaze may vary these values for any particular campaign, which will be informed when assigning the link on the platform, and its use or activation by the affiliate will indicate acceptance of the payment conditions assigned to each campaign.

9. INTELLECTUAL PROPERTY

• The provisions contained in Law 23 of 1982 of the Republic of Colombia, the Cartagena Agreement and other international treaties protect the designs, wording and contents of each of the documents and information whose intellectual property belongs to who reserves the right to grant license or authorization, except as contemplated herein in these T&C; therefore the elements contained herein may not be copied, reproduced, modified in whole or in part or communicated publicly, under penalty of being civilly and criminally liable for copyright infringement or any form of violation of intellectual property. Likewise, the contents that the affiliate disseminates within the framework of the collaboration referred to herein are the exclusive property of Inlaze, so that any forwarding of its contents to third parties is done under the sole and strict responsibility of the affiliate.

10. DATA PROCESSING AND PRIVACY

• All matters relating to the treatment of personal data, cookies and privacy in general within the framework of this collaboration are contained in the text at the end of the link called 'Privacy Policy', whose content is an integral part of these terms and conditions and constitute obligations for Inlaze in relation to the handling of personal data and protection of the good name of the allies. The acceptance of the present & constitute acceptance of the Policy that deals with this paragraph, as well as the understanding of the rights as holder of personal data.

11. EXPRESS PROHIBITION OF FRAUDULENT OR INCENTIVIZED TRAFFICKING

• In accordance with what is indicated in paragraphs 6, 7 and 8, the affiliate is subject to the payment conditions of the CPAs for the flow of affiliates that access the campaigns, products or services offered by our clients; in accordance with the present & and the minimum requirements established by the clients. These requirements may be, among others, minimum contribution amounts, welcome bonuses, affiliate permanence requirements, among others.

• In view of the fact that the partnership agreement, which is understood to be perfected with the acceptance of these T&Cs, is based on good faith and legitimate trust, it is expressly forbidden to engage in or promote incentivized or fraudulent traffic, which will automatically lead to the suspension of the Inlaze account, the termination of this partnership agreement, the suspension of CPA payments for the campaigns that gave rise to the detection of the incentivized or fraudulent traffic and the withholding of subsequent payments to the affiliate, in order to compensate the money already paid without having caused such payment.

• The declaration of traffic as fraudulent or incentivized is the exclusive responsibility of the customer, however Inlaze reserves the right to monitor this traffic and to generate the same effects when indications of fraudulent or incentivized traffic or behavior are detected in the affiliate's traffic data that present behaviors that are in line with incentivized or fraudulent traffic, or that simply do not meet the conditions for payment by the customer, a fact that does not give rise to the distribution of such payment within the framework of this collaboration. For the qualification of traffic as fraudulent or incentivized or even to have indications of such behaviors or to determine the absence of requirements for customer payment, they or Inlaze may use a number of criteria such as the number of operations compared to bets placed, money deposited, duration of life of the new affiliate on the platform, location of affiliates, behaviors of these affiliates, non-random patterns of the same, among others that suggest the lack of a genuine mass linking of affiliates. In the event that the traffic referred by the client is qualified as fraudulent or incentivized traffic, the corresponding commissions will not be paid, the affiliate's account will be blocked and the referred traffic will be removed from the campaign.

• The validity or permanence of the affiliate's permissions and, therefore, of the collaboration agreement generated with the affiliate, is determined directly by the client. Consequently, when the client for any reason suspends, prevents or requests to suspend or prevent the participation of the affiliate or affiliate, if not executed directly, the client INLAZE will immediately proceed to execute it and the affiliate and/or affiliate understands and accepts that there is no need to inform the client of the motives, causes or reasons for such a decision, nor is there any need for any prior notice or requirement, nor does it generate non-compliance or indemnification or penalty of any kind in favor of the affiliate and/or affiliate. Inlaze may refrain from offering any explanation regarding the reasons for which it suspends, blocks or removes the affiliate and/or affiliate from its platform.

• Any form of non-compliance with this clause or paragraph will result in your account being blocked immediately and any payments due to you will be withheld pending investigation. Inlaze reserves the right to withhold any amount derived from damages, customer discount or payment made in favor of the affiliate, originated by the behavior described herein; Inlaze also reserves the right to deduct these sums indicated herein from the fees owed for other campaigns in favor of the affiliate, even if these payments have been caused legitimately. However, we reserve the right to require by judicial or any legal mechanism the payment of damages that are properly proven.

12. COMPROMISE

• In case of controversies arising from this contract, the parties shall enter into an arbitration agreement, in order to decide the venue for the solution of the controversy, which may be a court constituted in the Republic of Colombia, a court constituted in accordance with the International Treaty in force between the nations from which the parties come or in accordance with Unidroit principles.

• Once a review of the dispute has been requested, and the parties have failed to resolve it, the dispute may be brought to court.

13. VALIDITY OF THE CAMPAIGNS AND THEIR CONDITIONS

• The validity and operability of the campaigns promoted in and made available to users will depend exclusively on the advertisers. Thus, Inlaze reserves the right to deactivate, eliminate or reactivate the campaigns as required by the operators or by Inlaze's own decision.

• Likewise, the conditions established for each campaign may vary, either by decision of the operator or by Inlaze's own decision.

14. CONTRACT ASSIGNMENT

• By accepting these Terms and Conditions, the affiliate accepts that Inlaze and/or SPORT ENLACE S.A.S. may assign at any time this contract, the administration of the Inlaze.com portal, as well as all rights and obligations derived from it, without prejudice to the obligations arising from the validity of the contract between the parties.

15. MODIFICATIONS TO THE TERMS AND CONDITIONS

• By accepting these Terms and Conditions, the Affiliate agrees that Inlaze and/or SPORT ENLACE S.A.S. may unilaterally adjust or add text to these Terms and Conditions and agrees to post a notice of change in the terms and version of these Terms and Conditions. Any such modification or version change will be effective immediately upon notice or posting of notice and will supersede all previous versions. Your accessing our website after such notice is sent to you will be deemed acceptance of such changes or the new Agreement if any &. The foregoing applies equally to the Privacy Policy referred to in paragraph 10 hereof &

• The affiliates registered prior to the entry into force of this version of the & will remain registered as prime level affiliates; therefore, the dynamics of payments and obligations within the framework of this contract will not be affected.

16. LEGAL AND TECHNICAL SUPPORT

• Inlaze expressly enables the email [email protected] for the resolution of doubts or technical incidents that may arise in the use of the platform. For any incident of a legal or data protection nature, you can contact us at [email protected] and we will proceed to resolve the needs of each affiliate.

• Affiliates may also contact us through any of the means specified on the main page of the platform.

17. COOKIES

• When you enter the Inlaze.com site, it may store or retrieve information in your browser, mainly in the form of cookies. This information is necessary for the provision of the services of the portal and may be about the person who is using the service, your preferences, technical conditions of navigation or equipment used; all collected solely for the purpose of providing our services optimally and that technical risks are minimized in our portal, thus allowing us to provide our services regularly and that your browsing experience is satisfactory for the user. Similarly, the information obtained may be used to provide a more personalized website, thus allowing our portal to identify only for purposes of improving access to our services, without storing any personal identification information, sensitive or private data of the user, both in first-party cookies and third-party cookies. Since cookies are necessary for the website to function correctly, they cannot be deactivated from this policy; therefore, entering the portal will constitute tacit acceptance of this policy; however, any blocking or inactivation of cookies by the user from his browser or using any software, application, complement or application designed for this purpose will exonerate the user from any inconvenience in the provision of the service, the browsing experience or access to the benefits of the services provided.
